By accessing or using the SweetRep platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including merchants and ambassadors.

To use the Service, you must create an account. You agree to provide accurate and complete information and to keep your credentials secure. You are responsible for all activity under your account.
SweetRep integrates with Shopify to provide its core functionality. By connecting your Shopify store, you authorize SweetRep to access your store data through the Shopify API, including:
You may revoke access at any time by uninstalling the app from your Shopify admin. Upon uninstallation, we will delete Shopify-specific data in accordance with our Privacy Policy.
Ambassadors may submit user-generated content (UGC) such as videos as part of brand missions. By submitting content to the Platform, you agree to the following:
You grant the merchant a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from your submitted content in any media or format, including but not limited to paid advertising, social media, websites, email marketing, and physical media.
This licence includes the right to use your name, likeness, and voice as they appear in the content.
You retain ownership of your original content. The licence granted above does not transfer ownership.
By submitting content, you represent and warrant that:
You agree to indemnify and hold harmless the merchant and SweetRep from any claims, damages, losses, or expenses (including reasonable legal fees) arising from or related to any breach of the representations in Section 6.3, including any intellectual property infringement claims by third parties.
Submitted content may be watermarked and screened using automated tools (including AI) for quality assurance and brand safety. Merchants may approve, reject, or request revisions to submitted content.
SweetRep uses AI-powered tools to screen UGC submissions for content appropriateness and brand safety.
A thumbnail image extracted from your video submission is analysed by an AI service (Anthropic Claude) to assess content appropriateness, relevance to the mission brief, and general quality indicators.
AI screening is a decision-support tool, not an autonomous decision-maker. The AI may produce false positives (flagging acceptable content) or false negatives (missing problematic content). Merchants retain the right to approve or reject any submission regardless of the AI assessment.
If you believe your submission was incorrectly flagged or rejected due to AI screening, you may appeal by contacting us at admin@sweetrep.com. Appeals are reviewed by a human within 5 business days.

Violation of these rules may result in immediate account suspension, forfeiture of unpaid commissions, and permanent ban from the platform.
When you use SweetRep to manage your ambassador programme, you act as the data controller for end customer order data that is processed through the platform. SweetRep acts as your data processor for this data.
The terms of this processing relationship are set out in our Data Processing Agreement, which forms part of these Terms.
As a data controller, you are responsible for ensuring that your own privacy policy adequately informs your customers about the processing of their data, including the sharing of order data with SweetRep for commission attribution and fraud detection purposes.
The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law:
Nothing in these Terms excludes or limits liability for:
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters, acts of government, pandemic, internet or telecommunications failures, power outages, payment processor outages or restrictions, and cyberattacks. The affected party shall use reasonable efforts to mitigate the impact and resume performance as soon as practicable.
SweetRep is not authorised or regulated by the Financial Conduct Authority (FCA). SweetRep is not a payment service provider, an electronic money institution, or a financial services firm.
SweetRep does not hold, pool, or safeguard funds on behalf of any user. Commission payouts are processed either directly by merchants (manual bank transfer) or through PayPal, which is authorised by the FCA as an electronic money institution (FRN: 900015).
SweetRep's role is limited to calculating commission amounts based on attributed sales and facilitating payout instructions. The actual transfer of funds is performed by the merchant or their chosen payment processor.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Nothing in these Terms affects your statutory rights as a consumer, including any rights under the Consumer Rights Act 2015. If you are a consumer, you may also bring proceedings in the courts of the country in which you are domiciled.
We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
